Merilampi represented Nordea as its Finnish counsel in the cross-border merger of Nordea Bank AB (publ) and its subsidiary bank, Nordea Bank Finland Plc. The merger was a part of a larger reorganisation of Nordea’s legal structure. Nordea’s subsidiary banks in Denmark and Norway were also merged with the Swedish parent company.

As a result of the merger, all assets and liabilities of the subsidiary banks were transferred to Nordea Bank AB (publ), and Nordea Bank Finland Plc, Nordea Bank Danmark A/S and Nordea Bank Norge ASA were dissolved. From now on, the banking business in Finland, Denmark and Norway will be carried out by branches of Nordea Bank AB (publ).

The merger process was one of the largest cross-border mergers involving banking companies in Europe.
